SynapTrace Software License Agreement

1. License grant

Subject to this Agreement, Dongju Park (“Licensor”) grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use SynapTrace (the “Software”) for lawful personal, educational, or internal business development purposes.

An organization may reproduce and distribute the Software internally to its employees and contractors solely for that organization's internal use. This does not permit public redistribution, resale, sublicensing, or offering the Software as part of another product or service.

The Software is licensed, not sold. Except for the limited rights expressly granted in this Agreement, Licensor retains all right, title, and interest in and to the Software, including all associated intellectual-property rights.

2. Restrictions

Except where applicable law expressly permits otherwise, you may not:

1. sell, rent, lease, sublicense, publicly redistribute, publish, or otherwise make the Software available to third parties except for the internal organizational distribution expressly permitted above;
2. copy the Software except as reasonably necessary for installation, use, backup, or permitted internal organizational distribution;
3. modify the Software or create derivative distributions of the Software;
4. reverse engineer, decompile, disassemble, or otherwise attempt to derive source code from the Software;
5. remove, obscure, or alter copyright, trademark, attribution, or other proprietary notices contained in the Software; or
6. bypass, disable, or circumvent technical restrictions, licensing controls, access controls, or usage limitations included in the Software.

3. Third-party components

The Software may include or depend on third-party software components. Those components may be governed by separate license terms. Nothing in this Agreement limits rights granted to you under an applicable third-party license.

Where required, third-party notices and license information may be provided separately with the Software.

4. Third-party AI services and user-provided credentials

SynapTrace may integrate with third-party artificial-intelligence or API providers selected and configured by you.

You are responsible for:

1. maintaining any required third-party account;
2. safeguarding credentials and API keys you provide;
3. fees, usage charges, quotas, or other costs imposed by third-party providers; and
4. complying with the applicable terms and policies of those providers.

Licensor does not control and is not responsible for the availability, pricing, performance, output, security, or continued operation of third-party services.

5. Pre-release software

Versions identified as preview, beta, pre-release, experimental, or otherwise not final may contain errors, incomplete features, or behavior that changes between releases.

Licensor may modify, replace, suspend, or discontinue pre-release features at any time.

6. User responsibility

The Software provides development assistance, project analysis, and AI-assisted output. You remain responsible for reviewing code, recommendations, generated materials, configuration changes, and other outputs before relying on them or applying them to a development or production environment.

The Software is not a substitute for testing, code review, security review, backups, or other development and operational safeguards appropriate to your project.

7. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

LICENSOR DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND ERROR-FREE OR UNINTERRUPTED OPERATION.

LICENSOR DOES NOT WARRANT THAT THE SOFTWARE OR ANY AI-ASSISTED OUTPUT WILL BE COMPLETE, CORRECT, SECURE, OR SUITABLE FOR ANY PARTICULAR USE.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, CODE, OR USE, ARISING OUT OF OR RELATING TO THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS AGREEMENT WILL NOT EXCEED THE GREATER OF:

1. USD $100; OR
2. THE TOTAL AMOUNT YOU PAID FOR SYNAPTRACE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain warranty exclusions or liability limitations, so some of the above provisions may not apply to you.

9. Termination

This Agreement remains effective until terminated.

Your rights under this Agreement terminate automatically if you materially violate its terms and fail to cure the violation where applicable law requires an opportunity to cure.

Upon termination, you must stop using and redistributing the Software and delete copies in your possession or control, except where retention is required by law.

Sections concerning ownership, third-party components, disclaimers, limitation of liability, and other provisions that by their nature should survive termination will survive.

10. Changes to this agreement

A particular version of the Software is governed by the license terms distributed with that version.

Licensor may publish different terms for future versions. Updated terms do not retroactively replace the license distributed with an earlier version unless you separately agree to them or applicable law permits otherwise.

11. Governing law

This Agreement is governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-law rules.
